Acceptance of These Terms

No quote is binding until it is accepted in writing and, where our own practice requires, a deposit or purchase order is received. We reserve the right to revise a quote if the machine differs from what you described, if new wear is found on survey or if your requested completion date cannot be met with the team we have scheduled.

Orders and Scope of Work

An accepted quote becomes an order governed by the scope of work that accompanies it. The scope records the machine, the axis, the operations we will perform, the tolerances we will meet and the deliverables such as test records, wiring diagrams and commissioning notes. We ask you to read that scope carefully before acceptance, because we build exactly to what it says.

Where a change arises partway through a job, we will not guess at it. We will describe the change in writing, quote any cost or schedule effect and proceed only with your agreement. This measured habit keeps each build in line with the records and leaves no quiet surprise on either side when the machine returns to your floor.

Our scope of work also states what we will not do. Clearing parts not in need of work, reconditioning a frame area we did not plan to touch or taking responsibility for the machining quality of stock you supply all belong to clear statements of division rather than to silent assumption. A measured contract draws the line between our hand and yours so that each side owns its own part of the result and knows where the other hand takes over.

Pricing and Payment

Prices are stated in United States dollars unless a quote says otherwise. Payment terms are set out on each quote and order, and we generally ask for a proportion on acceptance with the balance on the agreed milestone or on delivery of the certified machine. Travel, incidental materials and any changes outside scope are invoiced only where the quote or a later written agreement covers them.

Late payment may carry the interest and recovery the law allows, and we may pause work or withhold the certified paperwork while an invoice you owe remains overdue. A measured shop keeps its own ledgers clean, and we expect the same from the partners we serve, because a settled invoice is part of the same trust as a true axis.

Our quotes distinguish clearly between the labour and the materials of a job so you see what the work costs and what the parts cost. Where a component price moves between our quote and the acceptance of the order, we will tell you before the build starts rather than let a changed market quietly enter your bill. We invoice against the scope that was agreed, and we show the items plainly so the plant accounting team can place them with confidence.

Warranty on Our Work

Our certified work is warranted to conform to the scope of work and the tolerances it records for the warranty period each order states. Within that period we will repair or, at our choice, replace any aspect of our work that fails to meet the agreed specification, provided the failure is not caused by misuse, alteration by others, improper installation away from our crew or a cause outside our reasonable control.

This warranty is the only warranty we give in connection with our services and the site. To the fullest extent the law allows we exclude any other warranty that might otherwise arise, including any implied warranty of fitness for an unstated purpose, because a thorough scope sets the purpose and the machine must never be judged against a goal we were never told to reach.

Limitation of Liability

Our work is measured, methodical and careful, and we stand behind the scope it performs. Even so, no supplier can fairly carry unlimited responsibility for events far beyond its possession. To the fullest extent the law allows, AXIA VDF CEDAR LANE, LLC will not be liable for indirect, special, incidental or consequential losses, including lost production, lost profit, lost data or the cost of substitute machines, whatever the cause of the loss.

Our total liability for any claim connected to an order will not exceed the sum you paid us for that order, and our total liability for your use of the website will not exceed a small nominal amount. Nothing in this clause limits our liability for death, for personal injury caused by our negligence or for liability that the law says cannot be limited.

We draw this measure because an engineered boundary gives both sides a predictable footing. You buy with a settled idea of the risk you carry, and we build with a settled idea of the risk we own, and neither side stumbles into an open-ended exposure that a single machine fault could unfairly wipe out. The caps are a fair bargain for the modest data the site holds and for the technical work our orders describe.

Safety and Site Rules

Where our work is performed at your plant, you remain responsible for the safety of your site, your staff and the environment around the work. You agree to provide safe access, to inform us in advance of any hazard on the machine or in the area, and to keep your own guards and lock-out rules in force for the parts of the plant that our crew does not touch.

Our engineers will observe your site rules, wear the protective equipment required and stop work if a condition looks dangerous rather than push on through it. Safety is not an optional clause to be negotiated away; it belongs to the same discipline that keeps an axis true, and it governs every person who steps onto your hall floor or ours.

Client Supplied Data

When you send us drawings, programs, settings or records so that we can quote, configure or certify your machine, you confirm that you have the right to provide that material and that it does not breach another party rights. We will use it only to perform the work you ask for and will not use it to serve a competing customer.

Data you mark as confidential will be handled under the confidentiality clause below. Please do not send us any material that is not needed for the work, and please remove or note any sensitive personal details that sit inside plant files so we know what we hold and for how long.

Confidentiality

Each side agrees to keep confidential any non-public technical or commercial information that the other marks, or reasonably understands to be confidential, and that it receives in connection with an enquiry or order. Confidential information includes machine parameters, process settings, pricing and any records that reveal how a plant runs its line.

The duty of confidence continues after the order ends and applies for so long as the information stays non-public, and we may of course disclose confidential information where the law or a regulator compels us to do so. A measured shop keeps its notes close, and a plant that shares its process with us should trust that we carry those notes home but never pass them on.

Third Party Services

Our work may rely on components, drives, controllers or software made by other manufacturers. Where a warranty on such a component is offered by its maker rather than by us, we will pass through that warranty to you as far as we are able, but we do not give a new promise of our own for the component beyond the assembled work that contains it.

Where the site links to an external resource, that resource belongs to its own operator and its own terms govern. We provide such links for your convenience and we do not warrant the accuracy, pricing or behaviour of any external site, because control over a third party hall is exactly the kind of promise a measured company declines to make.

Governing Law and Jurisdiction

These Terms of Service and the relationship they create are governed by the laws of the State of Utah and, where applicable, the federal laws of the United States, without regard to conflict of law principles that would send the matter elsewhere. The courts located in the State of Utah have jurisdiction over any dispute that arises out of these terms or our services.

You agree to the personal jurisdiction of those courts for any such dispute. If a dispute does arise we will first try to settle it through measured, good faith discussion before any formal claim, because two engineering teams that can agree on a micron can usually agree on a fair outcome with a short conversation.

Severance and Waiver

If any part of these terms is found to be invalid, unlawful or unenforceable, that part will be read as modified to the smallest extent needed to make it valid and enforceable, or struck out if no such modification is possible, and the remaining terms will continue in full force. The purpose of a user harm or a damaged clause should never take a clean agreement down with it.

A failure by either side to insist on a strict performance of a term, or to exercise a right, is not a waiver of that term or right. A waiver is effective only where it is made in writing and signed by the party giving it, and one waiver does not carry forward to a later or different failure.

Variation of These Terms

We may revise these Terms of Service as our services, the law or the shape of the site require. When a change is material we will update the summary and place a note on the site so a returning visitor can see that the wording has moved. The terms in force at the moment you place an enquiry or accept a quote are the terms that govern that action.

Continued use of the site after a revision takes effect means you accept the updated wording as it applies to new activity, while the terms that govern an existing order remain those that the order was accepted against.
